Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") govern your access to and use of the RenewalDesk website and software-as-a-service platform (the "Service") operated by RenewalDesk ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of the service

RenewalDesk provides tools to track renewals, store related documents, send reminders, and manage related compliance workflows. Features may change over time as we improve the product.

3. Accounts and eligibility

You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.

Organization administrators are responsible for managing users, permissions, and content within their tenant.

4. Acceptable use

You agree not to:

• Use the Service for unlawful, harmful, or fraudulent purposes
• Upload malware or attempt to disrupt or reverse engineer the Service
• Access another customer's data without authorization
• Abuse rate limits, scrape the Service, or interfere with other users
• Misrepresent your identity or affiliation

We may suspend or terminate access for violations of these Terms.

5. Customer content

You retain ownership of content you submit to the Service ("Customer Content"). You grant us a limited license to host, process, and display Customer Content solely to provide and improve the Service. You represent that you have the rights needed to submit Customer Content and that it does not violate applicable law or third-party rights.

6. Subscriptions and billing

Paid plans are billed according to the pricing and terms shown at checkout or in your order. Fees are generally non-refundable except where required by law or expressly stated otherwise. We may change prices with notice for subsequent billing periods. Failure to pay may result in suspension or termination of access.

7. Intellectual property

The Service, including software, design, trademarks, and documentation, is owned by RenewalDesk or its licensors. These Terms do not grant you any ownership rights in the Service other than the limited right to use it as permitted herein.

8. Third-party services

The Service may integrate with third-party products (for example, payment processors or email providers). Your use of those services may be subject to their own terms and privacy policies.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT REMINDERS WILL PREVENT ALL MISSED RENEWALS. YOU REMAIN RESPONSIBLE FOR YOUR COMPLIANCE OBLIGATIONS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RENEWALDESK AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.

11. Indemnification

You agree to indemnify and hold harmless RenewalDesk and its affiliates from claims, damages, and expenses arising out of your use of the Service, your Customer Content, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay fees, or if we discontinue the Service. Upon termination, your right to use the Service ends. Provisions that by their nature should survive will survive termination.

13. Changes to the terms

We may update these Terms from time to time. We will post the updated Terms on this page and revise the "Last updated" date. Continued use after changes become effective constitutes acceptance where permitted by law.

14. Governing law

These Terms are governed by the laws applicable to RenewalDesk's principal place of business, without regard to conflict-of-law principles, except where mandatory local consumer laws apply.
